Suhrud has a decade of M&A and private equity experience in Hong Kong and Silicon Valley, working on deals for Fortune 500 corporations as well as for funds such as TPG Growth. He has advised executives at both multi-national and growth companies on acquisitions, investments, venture capital, strategy, and cross-border deals. Led a $70 million buy-side investment in a China, India, and Germany-based specialty chemicals company with $1 billion in revenue. Worked extensively with the CFO and finance team of the investment target on due diligence, drafted the investment memorandum, built and refined the valuation model, and toured various manufacturing facilities in Asia.
Prepared sell-side investor presentation and term sheet on behalf of a publicly-listed Vietnamese corporation seeking to raise $200 million via convertible notes for the expansion of a chain of hotels and resorts. Helped design EBITDA-based ratchet, and built and maintained the valuation model.
Authored a detailed 70-page investment report of Masan Group, a $1+ billion portfolio company of TPG. The report required interviews with the CEO and management team, updating the financials with the corporate development team, as well as a strategic review and analysis of Masan’s fast moving consumer goods ("FMCG") business. The report incorporated a sum-of-the-parts valuation model that used publicly traded comparable company analysis, including TEV/EBITDA multiples for Masan’s FMCG business unit and price-to-book multiples for its retail bank business unit.
Served as a full-time corporate development resource on an acquisition of a capital markets-related business by a top 30 U.S. retail bank. Presented to the CFO and other executive leadership at the bank for deal approval, drafted the initial term sheet, worked with various internal functional teams to build consensus on deal terms and built and maintained the valuation model. Worked with the in-house counsel and external law firm throughout the negotiation process.
Performed the initial review of commercial banking-related acquisitions for a top 30 U.S. retail bank. Built valuation models, including 30-year net tangible equity flow model for targets with sizable balance sheets, working closely with business unit finance teams. Created presentations used to facilitate executive decision making.
Worked with and introduced two oncology-related biotech companies spun out of U.S. academia to venture capital investors including Wildcat Capital, a $1.5 billion fund and one of the largest investors in Kite Pharmaceuticals.
Prepared initial valuation models and investment memorandums for multiple private equity deals in Asia, including investments in the largest privately owned bank in India, the largest pharmacy chain in North India, the largest consumer electronics retail chain in China and more than ten other deals.
Founded and built a legal process outsourcing business with operations in India.
Served as outside counsel to TPG Growth on its investment in NT Pharma, the largest in-licensor of western vaccines into mainland China. Saved the sponsor millions of dollars in purchase price due to the analysis of key supplier contracts.
Restructured PE-type real estate investment in India by Citi Alternatives, including drafting and negotiating the transaction documents.
Acted as the lead M&A counsel for a multi-national company in its acquisition of a Vietnamese cement company.
Represented Goldman Sachs principal investing in the restructuring of a Chinese retail-sector investment with a prominent Chinese private equity fund with $10 billion in assets under management.

Led the private investment in public equity ("PIPE") deal evaluations of the leading low-cost airline carrier in India, an Indian generic pharmaceutical maker, and a Malaysian oil and gas services business. Built the valuation models, wrote investment memorandums, and conducted strategic evaluations for TPG Growth.
Led the $40 million acquisition of a Brazilian in-licensor of branded western pharmaceuticals by Moksha8. Wrote the investment memorandum, prepared the merger financial model, negotiated the term sheet, coordinated with KPMG Brazil and local M&A counsel for financial and legal due diligence, and spent three months on location in Sao Paulo to close the transaction.
Prepared detailed biosimilars financial model including regulatory, manufacturing and toxicity study cost estimates, and met with prospective biotech venture capital investors in Boston, San Francisco, and Hong Kong.
Created the prospectus, presentations, and financial models for Series B and C equity investment rounds for Moksha8.
Led the other M&A evaluations for Moksha8 and prepared financial models to evaluate prospective in-licensing partnerships for both commercial and clinical trial-stage drugs.
