Assistant Minister

  • Developed an analytics framework for the performance reviews of state-owned enterprises, including KPIs, benchmarking, revenue and expense trends, valuation and dividend capacity. This analytics framework allows the ministry to follow the efficiency of utilization of invested capital, understand value creation or destruction from management decisions, and identify areas that require necessary improvements.
  • Created a restructuring financial model, participated in negotiations with investors, evaluated the transaction’s impact on the state budget, and created presentation materials for government bodies and the European Commission for the financial restructuring of a distressed state-owned petrochemical company. The transaction included the recapitalization of 60 million Euros by private investors and 60 million euros debt-to-equity swap by the state. As a result of the transaction, the company’s failure was avoided, and potential negative impacts on other state-owned enterprises were removed. The transaction enabled the company to pursue necessary operational restructuring and allowed the state to maximize its value.
  • Built pro-forma financial models, analyzed potential synergies, and quantified upside for the acquiring bank and the state as a shareholder for a merger between two state-owned banks. The transaction enabled the acquiring bank to enter new local markets while simultaneously providing significant operational synergies.
  • Contributed to the financial restructuring of the Croatian road sector which consisted of refinancing over 3 billion euros in loans and led to annual interest-payment savings of over 50 million euros.
  • Executed two sovereign bond issuance transactions with a total deal value of 2.1 billion euros.
  • Appointed as a board member of the European Investment Bank (the development bank of the European Union) in 2018.

  • Created acquisition models for various clients for multiple FDIC assisted acquisition bids. Worked closely with clients’ management teams to create bid scenarios based on different operational and credit mark assumptions. Successfully executed five winning acquisition bids that allowed the clients to achieve attractive returns and leverage their excess capital. Prepared investor presentations explaining the acquisitions.
  • Performed a valuation of UK-based wealth manager Ashcourt Rowan using comparable M&A transactions, trading comparables and M&A premiums, and discounted cash flows, in a £125 million sale transaction to UK-based, private equity-backed wealth manager Towry. The transaction involved a significant amount of synergies and increased Towry’s fund management expertise.
  • Executed the $148 million sale of City Index (a spread betting, CFD, and forex trading platform) to GAIN Capital. Performed valuation of City Index using management and stress case projections, valuation of potential synergies, and valuation of a convertible debt instrument issued as part of the consideration. Created the accretion/dilution model to analyze the sale’s impact on GAIN Capital based on different purchase prices and consideration structures.
  • Analyzed the historical offering discounts, created the pro-forma capital and EPS dilution model, and roadshow presentation for the $107 million public offering of Flushing Financial Corporation common stock.
  • Designed and built a complex financial model for a distressed $350 million recapitalization of a bank holding company using a prepackaged bankruptcy structure. The model included the analysis of future net operating loss (NOL) benefits, capital projections at the holding company and bank levels, and an analysis of IRR to private equity investors. Presented the model to potential private equity investors.
  • Involved in the execution of $400 million private equity recapitalization of First Southern Bancorp (blind pool transaction) and $350 million private equity recapitalization of Flagstar Bancorp (distressed transaction).
  • Performed risk assessment for co-manager roles in Italian and Greek banks’ equity offerings post ECB asset quality review.
  • Worked on various M&A transactions, including the $80 million purchase of 18 branches of the Royal Bank of Scotland by Community Bank System, TD Financial Group’s $8.5 billion acquisition of Commerce Bancshares, and U.S.B. Holding’s $575 million sale to KeyCorp.
  • Conducted due diligence on over 60 companies and worked with clients’ senior management to develop operating projections and financing models.
  • Created strategic and industry outlook materials for clients that included strategic alternatives presentations, information memorandums, and prepared fairness opinions.
